These Terms and Conditions define the agreement between you  and ThomasMathew.net 

By signing our Graphic Design, Web Design, Digital Marketing, or UI/UX Design Agreement, you confirm that you have read, understood, and accepted these terms. For questions, please contact us before proceeding.

Definitions

The Client (Individual or business availing our services.)
The Company (ThomasMathew.net.)
Project – May include one or more connected services: Graphic Design, Web Design, Digital Marketing, or UI/UX Design.

How do both parties agree?

The Client agrees to:

• Provide all necessary content (text, images, materials) within the agreed timeframe.
• Submit text and images in the specified format (see Photographs and Images).
• Review work, provide timely feedback, and approve deliverables.
• Follow all agreed deadlines.
• Make payments according to the pricing schedule or custom agreement.
• Clearly mark and communicate confidential information in advance.

The Company agrees to:

• Deliver all services professionally and within agreed timeframes.
• Meet deadlines, provided the Client fulfills their responsibilities.
• Provide up to two major revisions; additional revisions may incur extra charges.
• Complete website updates or revisions within 48 hours, depending on the Client’s support plan.
• Maintain up-to-date skills through research and training.
• Contact the Client before the end of the first 12-month term regarding renewal or continued support.

Graphic Design:

• All designs are optimized for print and digital use. Compatibility with outdated platforms or file formats cannot be guaranteed.

Web Design:

• The Company is not responsible for loss or damage from the use of developed software/code.
• Clients must test and verify all functions before launch.
• Clients must provide hosting access, credentials, and necessary cooperation.
• Reasonable efforts will be made to fix bugs post-launch but are not legally obligated.

Digital Marketing:

• SEO recommendations are based on analysis; results depend on implementation.
• Projects exceeding 40 man-hours billed on a time-and-material basis.
• Focus on organic growth; immediate results are not guaranteed.
• Applicable taxes are extra.
• Termination requires 60 days’ written notice.

UI/UX Design:

• Designs are user-friendly, engaging, and visually appealing.
• Tested across modern devices and browsers for optimal performance.

Payment Terms

• Schedule: 50% upfront, 50% upon completion. Work starts after initial payment.
• Methods: Bank transfer, online payment, or deposit. Confirm via email or call after payment.
• Online Payment: Secure and encrypted; processing may take 1–3 business days.
• GST & Service Charges: As per Indian Government regulations, included in invoices.

Cancellation & Refund Policy

• No refunds once the project has begun.
• If work has not started, 50% of the total amount is refundable.

Delivery Timeline

• Services are usually delivered within 3 business days or as mutually agreed based on project scope and complexity.

Contract Lengths & Additional Terms

• Payment schedules and deliverables are defined in the proposal/pricing page.
• Early cancellation may involve extra charges depending on project stage.
• Clients must cancel recurring payments to prevent overpayment.
• Additional features beyond agreed packages are invoiced separately.
• Hosting transfers may incur administrative fees.
• Changes after final approval are billed additionally.
• Hosting on third-party servers may affect performance; monthly maintenance fees remain unchanged.

Images and Copyright

• Images must be digital (minimum 1024×768 px). Scanned photos may incur extra costs.
• Clients must hold full legal rights to submitted materials; proof may be requested.
• Copyright transfers to the Client 12 months after final delivery.
• ThomasMathew.net retains backup copies and licensing rights for markup, CSS, and hosted assets.

Hosting

• Websites are hosted on secure, high-speed servers with 99.95% uptime. Specifications available upon request.

Liability

• The Company is not liable for delays caused by late content submission, feedback, or approval delays by the Client.

Confidentiality

• All client data, files, and communications are treated as strictly confidential.
• The Company adheres to all privacy, data protection, and retention regulations.

General Terms

• Projects will not be launched until full payment is confirmed.
• Hourly rates apply for edits or maintenance on third-party-hosted websites.
• Uninterrupted service or error-free performance on external hosting platforms cannot be guaranteed.
• This agreement is legally binding, severable, and non-transferable without written consent from both parties.
